THIS CONFIDENTIALITY AGREEMENT is made on [Date] between [Company Name] ("the Company") and [Name] ("the Recipient").

1. Confidential information

"Confidential Information" means non-public information disclosed by the Company, including business plans, client and employee data, pricing, systems and know-how, in any form.

2. Obligations

The Recipient shall keep Confidential Information secret, use it only for [purpose], not disclose it to third parties without written consent, and protect it with reasonable care.

3. Exclusions

Obligations do not apply to information that is public through no fault of the Recipient, lawfully known before disclosure, or required to be disclosed by law.

4. Data protection

Any personal data is handled in line with the Data Protection Act 2019.

5. Term & return

These obligations continue during and for [e.g. 3 years] after the relationship ends. On request, the Recipient will return or destroy Confidential Information.

6. Governing law

This agreement is governed by the laws of Kenya.
